DESIGNERS MEET | Connect. Discover. Collaborate. Page 1 Designer Membership Terms & Conditions DESIGNER APPLICANTS ONLY | Free, Student and Professional | Proposed effective date: Jan 1, 2027 1. Agreement and membership categories These Membership Terms govern participation in Designers Meet (“DM”). Available categories include Free Designer Community, Student, paid Professional Designer, Vendor Membership/Partnership and Directory Listing Only. Each category has separate eligibility, fees and permissions. Vendor packages and directory purchases may also require an order form or separate agreement that controls package-specific deliverables. 2. Eligibility and application review Applicants must provide accurate and complete information, accept the Code of Ethics and applicable terms, and satisfy category requirements. Student applicants must provide proof of current enrollment in design, architecture or a related field. DM may request verification, approve, decline or seek additional information in good faith, consistent with applicable law. Submission alone does not confer membership. 3. Free designer community and student access Regular DM Meets remain free and open to eligible designers, subject to registration, capacity and event conditions. Free community members and verified student members may access the private vendor directory after account approval. Free community participation does not include paid Professional Membership benefits. Students must maintain eligible status and update DM when it changes. 4. Professional Designer Membership pricing and term The founding Professional Membership rate is $149 for eligible existing and newly registered DM community designers—including Tampa Bay designers—who enroll no later than January 31, 2027. Starting February 1, 2027, the standard annual price is $199. The membership year runs February 1 through January 31. Memberships purchased mid-cycle are prorated to the next January 31; the checkout must display the exact amount before purchase. All Professional Membership terms expire January 31. The $149 founding rate is an introductory enrollment rate, not a lifetime renewal guarantee. Subsequent renewals are at the then-applicable standard rate (currently $199), subject to notice and applicable law. 5. Proration and billing transparency For a midyear Professional Membership enrollment, calculate a prorated fee based on the remaining calendar days through January 31 (inclusive), using the standard annual price and actual number of days in the membership year; round to the nearest cent. Display the enrollment date, prorated amount, expiration date, renewal price and any taxes before payment. Do not charge a new applicant for time before enrollment. Final calculation and rounding logic should be tested and approved before launch. 6. Renewal and payment authorization All paid Professional Designer Memberships share the January 31 renewal boundary. Any automatic renewal or saved-card charge requires a separate, clear affirmative authorization at checkout describing the amount or pricing method, frequency, cancellation method and timing, and any disclosures required by law. Without that authorization, DESIGNERS MEET | Connect. Discover. Collaborate. Page 2 DM must request payment before renewal rather than charge automatically. Send advance renewal notices and receipts as applicable. Failed payments may cause a grace period or access suspension under the published billing policy. 7. DM West / Tampa Bay introductory community DM West Tampa Bay offers complimentary founding community participation during its 2027 introductory period, currently planned through January 31, 2028, with access to its community communications and such local Meets as DM schedules. This is not a complimentary Professional Membership and does not automatically include exclusive paid benefits. Tampa Bay designers may voluntarily purchase Professional Membership at the applicable rate. No automatic paid conversion or charge will occur when introductory participation ends; DM will communicate any future changes. 8. Professional Membership benefits Paid Professional Members may receive eligible benefits such as the Coverings 2027 member experience, DM Pickleball Showdown participation, a House Hub ticket discount and eligibility to apply for DM ColLab, as described in the current published benefit schedule. Specific events, parking, admission, dates, discounts and availability are subject to partner commitments, capacity and published event conditions. ColLab eligibility does not guarantee selection, placement, exposure, compensation or project work. No member is guaranteed referrals, sales or financial returns. 11. Portal access, privacy and security Accounts are individual or business-specific and may not be shared to bypass access restrictions. Designers can browse the private directory; vendors may edit only their own approved business listing and account information. DM may take reasonable steps to protect accounts and suspend suspicious access. Personal data is handled under a separately published Privacy Policy. Members must not scrape, redistribute or misuse private portal content. Vendor and directory distinctions These Designer Membership Terms do not grant any vendor attendance, promotional or commercial participation rights. A designer who also operates a vendor business must separately apply under the applicable vendor program. The private vendor directory is a resource for approved designers, not a public listing service. Designer access to the directory does not grant a right to export vendor profiles in bulk, resell directory information, or publish private portal contents. 12. Payments, cancellation and refunds All prices, taxes, billing schedules and payment methods must be shown at checkout. Members may request cancellation of future renewal according to the cancellation instructions displayed in their account or provided by DM. Cancellation of a future renewal does not automatically create a refund for the current term. Refund eligibility, if any, must be specified in the final approved Refund and Cancellation Policy and must comply with applicable law. This draft intentionally does not impose an unapproved blanket no-refunds rule. 13. Suspension, termination and appeals DESIGNERS MEET | Connect. Discover. Collaborate. Page 3 DM may restrict access, suspend or terminate participation for violations of the Code of Ethics, misuse of community information, fraudulent applications, nonpayment or material breach of applicable terms. Where appropriate, DM may offer an opportunity to respond. Access ends when a paid term expires without renewal or when membership is terminated. Outstanding lawful payment obligations and confidentiality duties may survive termination. 14. Changes to terms and benefits DM may update programs, benefits, policies and pricing prospectively, subject to applicable law and any notice or consent requirements. Material changes will be communicated reasonably in advance. Changes to a signed vendor exclusivity agreement require the approvals specified in that agreement. 15. Independent relationships and disclaimer DM facilitates connections and does not employ or supervise independent members. Members are responsible for their own business contracts, licensing, insurance, work and due diligence. DM does not warrant or guarantee any member's products, services, qualifications, project outcomes or business results. Nothing in these Terms excludes rights that cannot legally be excluded. 16. Governing law and contact These Terms are intended for a Florida-based membership program and should be reviewed by Florida counsel before publication. The final legal entity name, notice email, mailing address, dispute-resolution language and effective date must be inserted and approved before launch. Contact DM using the official contact information published on the website. 17. Required acceptance I have read and agree to the Designers Meet Membership Terms and the separate Membership Code of Ethics & Professional Conduct. I understand that my application is subject to approval, that membership access depends on my approved category, and that any applicable membership fee and renewal terms will be shown before I authorize payment.
