DESIGNERS MEET | Connect. Discover. Collaborate. Page 1 Vendor Membership Terms & Conditions PAID VENDOR MEMBERS & PARTNERS | Tier-specific offer required | Proposed effective date: Jan 1, 2027 1. Agreement, application and approval These Vendor Membership Terms govern businesses applying for paid vendor membership or partnership with Designers Meet (“DM”). An application is not approved merely because it is submitted or paid. DM may request company information, professional references, category verification and supporting documentation. Membership begins only upon approval and satisfaction of the applicable payment terms. Applicants must separately accept the universal DM Code of Ethics. These Terms apply together with the specific tier order form; a separately signed exclusivity or event-hosting agreement governs its own defined deliverables. 2. Vendor tiers, fees and benefit schedule Available tier names, annual or monthly fees, number and type of eligible Meets, regional scope, event participation rights, directory placement, educational opportunities and any other benefits are those explicitly stated in the approved written offer at purchase. No 2027 vendor tier price is established by this general agreement. Benefits may not be transferred or resold. An upgrade or downgrade is subject to availability, approval and the applicable published pricing and effective date. DM may vet applicants for higher tiers. 3. Community access is membership-based Access to regular DM Meets and private DM community activities by vendors requires an active, approved, paid vendor membership that expressly includes the particular activity. Standalone $25 Meet tickets do not provide vendor access under the 2027 model. Membership does not automatically guarantee admission to every Meet, regional event, private designer communication channel or special program. Registration, capacity, conduct requirements and tier restrictions still apply. Vendors may not use designer accounts or another member's credentials to bypass restrictions. 4. Directory profile and visibility Eligible vendor members may maintain a business listing in DM's private Vendor Directory, which is visible only to approved, authenticated designers within the Designer Portal. Vendors may edit their own profile, subject to DM moderation, but may not browse private designer member records or the designer-facing directory. Vendor warrants that supplied descriptions, contact details, photos, trademarks and product claims are accurate and authorized. DM may request corrections, moderate content or temporarily hide inaccurate or noncompliant listings. 5. Solicitation and member privacy Vendor membership creates opportunities to form relationships; it does not provide access to a downloadable designer contact database, automatic consent for marketing, or permission to send unsolicited bulk messages. Vendor representatives must follow DM's community communications rules, respect opt-outs and comply with applicable marketing and privacy laws. DESIGNERS MEET | Connect. Discover. Collaborate. Page 2 Private DM chats may not be used for unsolicited advertising or repeated promotional posts unless DM specifically authorizes a designated promotional opportunity. 6. Event participation and hosting Event attendance is subject to the applicable tier, advance registration, capacity, venue rules and reasonable organizer instructions. A hosted Meet, speaking opportunity, sponsorship activation or other deliverable exists only if specifically confirmed in writing. Any hosting arrangement must have a separate written scope addressing date, location, fees, vendor obligations, promotion, cancellation or postponement, insurance and responsibilities. Vendor membership alone does not guarantee hosting or speaking slots. 7. Exclusivity and protected categories No exclusivity, category protection, territory restriction or first-refusal right exists unless separately agreed in a signed document. Any exclusivity agreement must identify the exact business category, geographic area, duration, exceptions, renewal conditions and remedies. DM may review competitive category overlaps before accepting a higher-tier application. Directory-only businesses and standard vendor members receive no implied exclusivity. 8. Independent businesses and conflicts Members remain independent businesses and are responsible for their own licensing, insurance, taxes, employees, products, project commitments and customer contracts. DM does not guarantee referrals, leads, sales, revenue, endorsements or outcomes. Members must avoid false claims of DM endorsement and disclose material financial relationships when required by law. 9. Payment, renewal and cancellation The accepted vendor order form must specify the fee, payment frequency, start date, term, renewal date, taxes and cancellation instructions. Vendor membership renewals are NOT automatically governed by the January 31 designer membership cycle. Automatic renewal or stored-payment charging requires a separate, legally compliant affirmative authorization with clear disclosures. Cancellation stops future renewals according to the approved policy; refund eligibility is governed by the final published vendor refund terms and applicable law. 10. Suspension, termination and effects DM may review suspected violations, seek clarification, issue warnings, suspend event or portal privileges, or terminate membership for material misconduct, nonpayment, misuse of member information or breach of these Terms, consistent with applicable law. On expiration or termination, vendor community access ends; directory display and any exclusivity or hosting rights end or continue only as provided in their separate agreements. No refund is promised or denied by this general provision; the applicable written refund policy controls. DESIGNERS MEET | Connect. Discover. Collaborate. Page 3 11. Changes, disputes and legal information DM may make prospective changes to published benefits and policies with reasonable notice and any consent required by law. Signed exclusivity commitments cannot be unilaterally changed contrary to their terms. Before publication, insert the correct DM legal entity, mailing address, notice email, effective date and Florida-law-reviewed dispute resolution and refund provisions. 12. Vendor applicant acknowledgment I confirm that I am authorized to apply for this business; all application information is accurate; I have read and accept these Vendor Membership Terms and the separate DM Code of Ethics; and I understand that payment or application does not guarantee approval, access beyond my purchased tier, referrals, exclusivity or event-hosting opportunities.
